TO THE MAXIMUM EXTENT PERMITTED BY LAW, OPTIMUM OHIO HOMES AND ITS OFFICERS, MANAGERS, MEMBERS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, CONSEQUENTIAL, SPECIAL, PUNITIVE, OR EXEMPLARY DAMAGES (INCLUDING LOST PROFITS, REVENUE, OR DATA) ARISING FROM OR RELATING TO THE SITE OR THESE TERMS, EVEN IF ADVISED OF THE POSSIBILITY. OUR TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THE SITE SHALL NOT EXCEED USD $100 OR THE AMOUNT YOU PAID US, WHICHEVER IS GREATER.

Indemnification

You agree to defend, indemnify, and hold harmless Optimum Ohio Homes and its affiliates from any claims, damages, losses, liabilities, and costs (including reasonable attorneys’ fees) arising out of or related to your: (a) use of the Site; (b) violation of these Terms; or (c) infringement of any third-party right.

Governing Law & Venue

These Terms are governed by the laws of the State of Ohio, without regard to conflicts-of-law principles. Any dispute arising under these Terms shall be resolved exclusively in the state or federal courts located in Cuyahoga County, Ohio, and you consent to their personal jurisdiction.

Dispute Resolution & Class-Action Waiver

To foster speedy and cost-effective resolution, you and Optimum Ohio Homes agree to attempt informal negotiation of any dispute for at least 30 days before initiating litigation. You further agree that any claims will be brought only in your individual capacity and not as a plaintiff or class member in any purported class or representative proceeding.

Modifications to the Site or Terms

We may update the Site or these Terms at any time. Material changes will be posted on this page and take effect when indicated by the “Last updated” date. Continued use of the Site after changes signifies acceptance.

Termination

We may, in our sole discretion, suspend or terminate your access to the Site at any time and for any reason, without notice or liability.

Severability

If any provision of these Terms is held unenforceable, that provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions will remain in full force.
